Quotation Terms
These terms govern use of this website and quotation requests submitted to Vendes Corporation, operating as Vendes Packaging (“Vendes,” “we,” “us” or “our”). They are designed to keep product specifications, prices and commercial responsibilities clear before an order is confirmed.
1. Website information
This website provides general information about Vendes and its products. We make reasonable efforts to keep information accurate, but website content may be updated without notice and does not constitute a binding offer, warranty or guarantee of stock.
2. Product images and specifications
Images are for product identification and presentation. Color, packaging, labeling, texture, dimensions and appearance may vary because of lighting, screen settings, supplier batches or approved product changes. Published sizes and descriptions are general references. The specification written in the final quotation or order confirmation is controlling.
The customer is responsible for reviewing product suitability, dimensions, material, color, intended use and required quantity before approval. Samples may be requested subject to availability, with shipping or delivery shouldered by the client unless otherwise agreed in writing.
3. Quotations and pricing
Prices are provided upon inquiry and may depend on product specification, order volume, stock, supplier cost, destination, payment terms, taxes and logistics. Wholesale or volume-based corporate pricing may be negotiated for qualified requirements.
A quotation is valid only for the period stated in it. If no validity period is stated, availability and pricing must be reconfirmed before payment or order acceptance. A revised quotation replaces earlier versions for the same requirement. Typographical or calculation errors may be corrected before order acceptance.
4. Order confirmation and changes
An inquiry, form submission, message or request for a price list does not reserve stock or create an accepted order. An order becomes binding only after the parties confirm the final written terms and any required payment, deposit, purchase order or credit approval is completed.
Requested changes to a confirmed order are subject to written approval, stock status and any additional cost or lead time. Custom, specially sourced, cut-to-size, printed or made-to-order products may no longer be changed or cancelled once procurement or production has started.
5. Payment, credit and VAT Sales Invoices
Available payment methods include cash, GCash, bank transfer, approved online wallets and checks, subject to the confirmed quotation. Checks may require clearing before release. Credit terms, where offered, require separate written approval and may be suspended for overdue accounts.
Vendes is VAT registered and issues VAT Sales Invoices for reportable sales in accordance with applicable invoicing requirements. The customer must provide complete and accurate registered name, address, TIN and other billing details before invoice issuance. Corrections are subject to applicable accounting and tax rules.
6. Processing, delivery and risk
Selected ready-stock items may be processed on the same day. Other items may require approximately 7–15 days or another lead time stated in the quotation. All schedules are estimates until confirmed and may change due to stock, production, carrier, weather, access restrictions or events outside reasonable control.
Vendes coordinates delivery anywhere in Luzon, subject to product, destination, minimum delivery quantity, access and applicable charge. The customer must provide an accurate address, authorized recipient and safe unloading arrangements. Delivery is completed according to the agreed proof of receipt, pickup acknowledgment or carrier record.
7. Inspection, concerns and returns
The customer should inspect the order promptly upon receipt and notify Vendes as soon as reasonably possible of missing quantities, incorrect items, transit damage or apparent defects, together with the order reference, photos and relevant details. Do not use, alter or dispose of questioned products until Vendes has reviewed the concern.
Returns, replacements, credits or refunds are not automatic and depend on verification, product condition, the approved specification and the applicable written quotation. Change-of-mind returns, opened goods and custom or specially sourced items may be declined, except where required by law or expressly agreed in writing. Nothing in these terms removes rights that cannot lawfully be excluded.
8. Customer-provided information
You confirm that information, artwork, measurements, trademarks, delivery instructions and billing details you provide are accurate and that you are authorized to use them. Delays, rework or losses caused by incomplete, inaccurate or unauthorized customer instructions may result in revised cost and schedule.
9. Intellectual property and third-party names
Vendes branding, original website content and product presentations may not be copied or used commercially without written permission. Third-party brands, marketplace names and marks belong to their respective owners. References to them identify intended applications or customer context and do not imply sponsorship or endorsement.
10. Reasonable limitation of responsibility
To the extent permitted by law, Vendes is not responsible for indirect, incidental or consequential loss arising from website use, customer misuse, unsuitable application, inaccurate customer instructions, third-party carrier delay or events outside our reasonable control. Any responsibility relating to a supplied product remains subject to the confirmed transaction, verified issue and applicable law.
11. Privacy, governing law and updates
Personal information is handled under our Privacy Policy. These terms are governed by the laws of the Republic of the Philippines. We may update them when our operations or legal obligations change; the effective date above identifies the current version.
